What a Registered Agent does, what the law requires, why founders living abroad almost always hire one, and how to compare providers.
What does a Registered Agent do?
A Registered Agent is a person or company the LLC appoints to receive legal documents and official notices on its behalf: court summonses (service of process), mail from state agencies, and notices about taxes and annual reports.
Is it required?
Yes. Every state requires an LLC to have a Registered Agent in that state. The agent normally needs a physical address in the state (a P.O. box is not accepted) and must be available during business hours to receive documents.
Why do founders abroad almost always hire one?
You can act as your own Registered Agent if you have an address in the state and are always there during working hours. Someone living outside the US almost never meets that bar, so hiring a professional Registered Agent service is the common choice.
How to choose a provider
- Look at multi-year total cost, not just the first-year price: ask about the renewal fee from year two.
- How documents are handled: are they scanned and emailed straight away, and how fast do they respond?
- Privacy policy: do they sell or share customer data with third parties?
- Do they staff the state themselves or subcontract to someone else?
- Quality of support when something goes wrong.
What happens without a Registered Agent?
If the Registered Agent lapses or cannot be reached, the state can administratively dissolve the LLC. Worse, if court papers never reach you, the company can lose a case by default without you ever knowing.
Is it hard to change Registered Agents?
Not at all. You file a change-of-agent form with the state (usually a small fee) and make sure the new agent has agreed to take on the role before you file.
This article is general information, not legal or tax advice. Rules and fees change by state and over time — check the official state/IRS pages and consult a professional before you decide.
Frequently asked questions
Is the Registered Agent address my business address?+
Not necessarily. It is the address for receiving legal documents. Some banks or platforms may not accept a Registered Agent address as a business address, so check beforehand.
