Closing an LLC (Dissolution)

Dissolve your LLC properly to avoid penalties or lingering tax liabilities.

When you no longer need your LLC, simply ceasing to file annual reports is not a valid way to close it — the state will administratively dissolve it, but tax obligations and unpaid fees can remain outstanding. A proper dissolution means filing formal dissolution papers, paying all outstanding fees, and closing the EIN with the IRS.

  • ✓File Articles/Certificate of Dissolution with the state of formation
  • ✓Pay all outstanding annual reports and fees before dissolving
  • ✓Notify the IRS to close the EIN account to avoid future filing obligations
