How to Close an LLC Properly So No Obligations Are Left Hanging

By the USBizViet team · Updated 9/24/2026 · 4 min read

Why simply stopping payment isn't dissolution, the proper steps to close an LLC, and the filings to complete before you wrap up.

Is stopping payment the same as closing the LLC?

No. If you just stop paying annual reports and fees, the state may administratively dissolve the LLC, but accrued fees and unfiled reports can still be counted against you. A proper dissolution closes out your obligations cleanly.

The usual steps

  1. Pay the company's remaining debts, taxes and fees.
  2. Members vote to dissolve according to the Operating Agreement.
  3. File formal dissolution papers with the state (often called Articles/Certificate of Dissolution).
  4. File any missing state reports and a final return with the IRS, marked as final.
  5. Send the IRS a letter asking to close the EIN account, following IRS guidance.
  6. Close the bank and payment-platform accounts after moving out the remaining balance.
  7. Cancel the Registered Agent and address services.

Records to keep

  • The state's confirmation of dissolution.
  • A copy of the final tax return.
  • Bank statements through the closing date.
  • The Operating Agreement and the written decision to dissolve.

The exact order and requirements vary by state. If the LLC has foreign members or US-source income, get an accountant's help with the final IRS reporting.
